Agreement
These Terms govern the business website and services provided by Valoria Ventures, LLC, doing business as Host Reliant ("Host Reliant," "we," "us"). By ordering or using services, you ("Customer") agree to these Terms and your accepted service order. If acting for an organization, you represent you are authorized to bind it.
Services and Scope
We provide managed hosting, technical maintenance, monitoring, website operations, performance optimization, and technical SEO only to the extent described in the applicable plan or written order. WordPress and Vercel services may differ. Specific backup schedules, security scanning, uptime targets, development allowances, reports, and response times apply only when expressly included and configured. Additional work requires separate agreement.
Customer Responsibilities
Customer must provide accurate information, authorized technical access, lawful content, necessary licenses, and timely approvals. Customer remains responsible for business content, privacy disclosures on its website, and its own customer relationships. Customer must protect login credentials and notify us of suspected unauthorized access.
Accounts and Security
We may grant customer portal access to authorized representatives. Customer is responsible for access granted under its account. We may use appropriate third-party infrastructure providers and take proportionate action to protect systems from abuse or security threats.
Subscription and Payment
Unless a written order says otherwise, subscriptions are month-to-month, billed in advance, and automatically renew each month until canceled. At checkout, the customer authorizes recurring charges at the disclosed rate plus applicable taxes. Separately authorized services may be charged separately. We may retry failed payments and provide notice before suspending routine services. Material pricing changes will be communicated in advance as required by law.
Cancellation and Refunds
Cancel at any time through the available billing portal or by emailing support@hostreliant.com. Cancellation normally takes effect at the end of the paid period and stops future renewal charges. Fees for periods already begun are generally nonrefundable except where required by law or expressly agreed in writing. We will review and correct duplicate or erroneous charges. See the Refund & Cancellation Policy.
Availability, Security, and Backups
We use commercially reasonable care in delivering contracted services. Third-party outages, maintenance, attacks, software defects, and other interruptions can occur. We do not guarantee uninterrupted service, a specific uptime percentage, complete threat detection, or recovery from every data loss unless expressly stated in a signed service-level agreement. Backup coverage and retention depend on the customer’s actual plan and configuration.
SEO and Performance
Search rankings, AI recommendations, traffic, leads, conversions, and speed scores depend on factors outside our control. We do not guarantee any particular result. Deliverables and reporting are limited to the applicable order.
Customer Materials and Intellectual Property
Customer retains ownership of its domains, trademarks, and content it owns or licenses. Customer grants us a limited license to use and modify those materials as needed to provide contracted services. Our preexisting software, methods, templates, and systems remain ours or our licensors’. Ownership of custom deliverables is governed by the applicable written order.
Acceptable Use
Customer may not use services for fraud, spam, phishing, malware, unlawful material, infringement, unauthorized access, or conduct that threatens infrastructure. We may restrict or suspend services as reasonably needed to address serious abuse or comply with law.
Third-Party Services
Services may depend on hosting, payment, analytics, authentication, monitoring, and software providers. Their applicable terms and availability may affect delivery. We will reasonably assist within the scope of our agreement but do not control independent third-party systems.
Termination and Transition
Either party may terminate for a material breach not cured within 15 days of written notice; urgent security or legal threats may require immediate action. Upon expiration, hosting or management may cease. We will reasonably cooperate with export of customer-owned materials upon request, subject to applicable fees and technical limits. Migration work may be quoted separately. Customer-owned domains are not transferred to us by these Terms.
Warranties and Liability
Except for express commitments in an order and rights that cannot be excluded by law, services are provided as available without implied warranties of merchantability or fitness for a particular purpose. To the extent permitted by law, neither party is liable for indirect or consequential damages. Our aggregate liability arising from an order is limited to amounts paid to us for that order in the preceding 12 months, except where law prohibits such limitation.
Indemnity
Customer will indemnify us against third-party claims arising from unlawful customer-supplied materials, customer infringement, or material misuse of services, except to the extent caused by our negligence or misconduct.
Disputes and Governing Law
The parties will first attempt good-faith resolution by written notice. Subject to mandatory applicable law, these Terms are governed by the laws of Georgia. No mandatory arbitration is imposed by these Terms.
Changes and Contact
We may update these Terms prospectively and notify subscribers of material changes as required. If a clause is unenforceable, the rest remains effective.
